Bond Counsel; State Law and Federal Tax Law Expertise
As bond counsel to Colorado issuers, we help clients to navigate the requirements of applicable state and federal laws and regulations, including securities matters, and issuer and borrower governing documents as they relate to proposed financing structures. Upon ensuring compliance with the same, we then translate term sheets into documentation that works post closing.
As part of the bond counsel role, at the time of initial issuance, our Section 103 tax counsel advises clients on the myriad of complex federal tax rules and regulations affecting the use of proceeds and financial structures to ensure compliance with the Internal Revenue Code. Underwriter’s Counsel; Disclosure Counsel; Securities Law Expertise
Attorneys at Casey Parrot LLC are experts in and frequently advise clients on state and federal securities laws and regulations as they apply to municipal bonds, as well as proper disclosure practices. We regularly assist in the preparation of the initial offering document, in the capacity as underwriter’s counsel to investment banking firms or as disclosure counsel to the issuer, and provide guidance relative to determinations of materiality in the context of securities offerings.
